1. Our Services
Upsitegroup provides managed IT support and consulting services, including network management, cybersecurity, help desk support, cloud services, and HIPAA-compliant IT solutions for small medical offices and other businesses across Palm Beach, Broward, and Miami-Dade counties. Specific services, deliverables, service levels, and fees are governed by a separate signed service agreement or statement of work between Upsitegroup and the client, which will control in the event of any conflict with these Terms.
2. Eligibility and Client Accounts
Our Services are intended for businesses and their authorized representatives. By engaging our Services, you represent that you have the authority to bind your organization to any applicable service agreements.
3. HIPAA and Data Handling
Where Upsitegroup provides IT services to healthcare-related clients that involve access to protected health information (“PHI”), the parties will execute a separate Business Associate Agreement (“BAA”) as required under HIPAA. Nothing in these Terms is intended to modify or supersede the terms of any executed BAA.
4. Client Responsibilities
Clients are responsible for providing accurate information, timely access to systems and premises as needed, and for maintaining appropriate internal policies and controls. Upsitegroup is not responsible for losses arising from client failure to implement recommended security measures or from client-side misuse of systems.
5. Fees and Payment
Fees for Services are set forth in the applicable service agreement, quote, or invoice. Invoices are due upon the terms stated therein. Late payments may result in suspension of Services and may accrue interest or fees as permitted by law.
6. Intellectual Property
All content on the Site, including text, graphics, logos, and software, is the property of Upsitegroup or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Site without our prior written consent.
7. Limitation of Liability
To the fullest extent permitted by law, Upsitegroup shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to your use of the Site or the Services. Our total liability for any claim arising from the Services shall not exceed the amount paid by you to Upsitegroup for the Services giving rise to the claim in the preceding three (3) months, except as otherwise provided in a signed service agreement.
8. Disclaimer of Warranties
The Site and any general information provided on it are provided “as is” and “as available” without warranties of any kind, either express or implied. Upsitegroup does not warrant that the Site will be uninterrupted or error-free.
9. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by Upsitegroup. We are not responsible for the content, privacy practices, or terms of any third-party sites.
10. Termination
We reserve the right to suspend or terminate access to the Site at our discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Upsitegroup or other users. Termination of Services under a signed service agreement is governed by the terms of that agreement.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
